Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Project Ledger service (the “Service”), operated by Project Ledger(“we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, in which case “you” refers to both you and that organization.

2. Description of the Service

Project Ledger is a collaboration platform that enables service providers (agencies, freelancers, consultants) and their clients to share structured project updates, comments, reactions, and attachments. Features may include daily and weekly updates, notifications, project invitations, file storage, and related functionality. We may add, remove, or modify features at any time.

3. Eligibility & Accounts

You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service. You are responsible for providing accurate account information, maintaining the confidentiality of your credentials, and all activity that occurs under your account. Notify us immediately at legal@projectledger.app of any unauthorized access.

4. User Roles

The Service supports two profile types: Provider and Client. A single account may hold either or both profiles. Certain features (such as creating projects and publishing updates) are available to providers; certain features (such as reacting to updates) are available to clients. You are responsible for using the correct profile for each action.

5. User Content

User Content” means any text, images, documents, video, audio, code, links, comments, reactions, or other material you submit to the Service, including files you upload as attachments.

5.1 Ownership

You retain all rights in your User Content. We do not claim ownership of it.

5.2 License to us

You grant Project Ledger a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and process your User Content solely as necessary to operate, provide, secure, improve, and support the Service, and to share User Content with the other project participants to whom you direct it. This license ends when you delete the User Content, except to the extent it has been shared with others or is required to be retained by law.

5.3 Responsibility

You are solely responsible for your User Content and represent that you have all rights necessary to submit it and to grant the license above. Do not upload anything you don't have the right to share.

6. Acceptable Use

You agree not to:

  • Violate any applicable law or third-party right.
  • Upload malware, viruses, or any code intended to disrupt or damage software, hardware, or communications equipment.
  • Upload content that is unlawful, defamatory, obscene, harassing, hateful, or infringing.
  • Attempt to gain unauthorized access to accounts, systems, or data not belonging to you.
  • Scrape, crawl, or use automated means to access the Service except through documented APIs.
  • Interfere with or overload the Service (including via denial-of-service techniques or excessive resource consumption).
  • Resell, sublicense, or misrepresent the Service as your own.

We may investigate suspected violations and, at our discretion, remove content, suspend accounts, or terminate access.

7. File Uploads & Storage

The Service allows uploading files as attachments to project updates. File uploads are subject to size limits (currently 100 MB per file), category restrictions (PDF, image, video, audio, document, spreadsheet, presentation, code, and other supported types), and total-storage limits associated with your subscription plan. We reserve the right to remove uploads that violate these Terms, without prior notice where the content poses a risk to the Service or other users.

8. Subscription Plans, Fees, and Billing

Some features of the Service are offered on a paid subscription basis. Prices, plan limits (including maximum projects per account), and billing cycles are described on the pricing page inside the Service. Unless stated otherwise:

  • Fees are billed in advance on a recurring basis (monthly or annual) and are non-refundable except where required by law.
  • You authorize us or our payment processor to charge your payment method for applicable fees, taxes, and any renewal.
  • You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.
  • We may change pricing with reasonable prior notice. Changes take effect on the next renewal.

9. Third-Party Services

The Service integrates with third-party providers that help us deliver functionality — including cloud object storage (Cloudflare R2), transactional email (Resend), and (where applicable) payment processing. Your use of the Service may involve those third parties under their own terms and privacy notices. We are not responsible for third-party services.

10. Our Intellectual Property

The Service, including its software, design, trademarks, and content we provide (other than User Content), is owned by Project Ledger and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms.

11. Feedback

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction. We are under no obligation to keep feedback confidential.

12. Confidentiality

Content shared privately between project participants is intended only for those participants. You agree not to disclose confidential information you receive through the Service to anyone outside the project without permission.

13. Term & Termination

These Terms remain in effect while you use the Service. You may terminate your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk or possible legal exposure for us, or if we cease providing the Service. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE PRESERVED. YOU USE THE SERVICE AT YOUR OWN RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJECT LEDGER AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

16. Indemnification

You agree to defend, indemnify, and hold harmless Project Ledger and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your breach of these Terms.

17. Modifications to the Service and Terms

We may modify or discontinue the Service at any time. We may also update these Terms; when we do, we'll change the “Last updated” date above and, for material changes, provide reasonable notice (for example, by email or in-app). Continued use after the effective date constitutes acceptance of the updated Terms.

18. Governing Law & Disputes

These Terms are governed by the laws of Delaware, United States, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, United States, and you consent to personal jurisdiction there. Nothing in this section limits either party's right to seek injunctive relief in any court of competent jurisdiction.

19. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and Project Ledger regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely.
